Terms & Conditions

1. Introduction

These Terms & Conditions outline the agreement between Codenia Technologies LLP ("we", "our", "us") and the Client ("you", "your"). By signing the proposal, you acknowledge and agree to these terms.

2. Engagement as Independent Contractor

• The Client is engaging Codenia Technologies LLP as an independent contractor for this specific project.
• This agreement does not establish an employer-employee relationship, joint venture, or partnership.

3. Completion & Responsibilities

• Both parties must collaborate to complete the project in a timely manner.
• Codenia Technologies LLP agrees to complete the project by the agreed launch date, provided all required inputs and approvals are received on time.

4. Payment Terms

• Fees are due as per the proposal’s budget breakdown.
• Monthly service fees will be invoiced on the 1st business day of each month and are due on a net-7 basis.
• Payments will be made in INR (₹) or USD ($).

6. Copyright & Ownership of Project

• Upon full payment, all design and development aspects will be transferred to the Client.
• The Client will have full ownership rights, including source code and assets.
• Codenia Technologies LLP may showcase completed projects in its portfolio unless agreed otherwise in writing.

7. Sole Agreement & Change Requests

• This agreement is the sole contract regarding this project.
• Any additional work must be authorized through a written change request.
• Changes may impact timeline, budget, and scope, requiring mutual approval before implementation.

8. Refund Policy

• The initial deposit is non-refundable once the project starts.
• If work is halted within 4 days, completed work will be billed at ₹2,000 or $30 per hour, with any balance refunded.
• No refunds will be provided after 4 days.

9. Warranties & Liabilities

• The delivered work is guaranteed to function as intended for 30 days post-launch.
• Bugs or issues reported within this period will be fixed free of charge.
• We are not responsible for third-party service failures.

10. Termination Clause

• Either party may terminate the agreement with a 14-day written notice.
• The Client must pay for all completed work up to the termination date.
• All intellectual property remains with Codenia Technologies LLP until final payments are settled.

11. Governing Law & Dispute Resolution

• These terms are governed by the laws of India.
• Disputes will be settled through arbitration before seeking legal action.

12. Acceptance & Agreement

By signing the proposal or acknowledging it via email, the Client confirms agreement to these Terms & Conditions.

Changes to Terms and Conditions

We reserve the right to update or modify these terms and conditions at any time without prior notice. Your continued use of our website or services after any changes or modifications indicates your acceptance of these changes.
